Startup Incorporation, Structuring & Registrations

Our work begins with conducting the incorporation of your startup and advising you on the relevant mode for the process. For instance, depending upon your business plans and vision including that of raising funds, we will advise you on the suggested mode of incorporation, such as, one person company, limited liability partnership or a private limited company. Post-incorporation Compliances

(a) Employment Contract: The key contract to be executed between the startup and its prospective employees. This employment contract can be tweaked if a senior management professional is on-boarded – suggestions will be provided in this regard by way of comments;
(b) Company Service Rules (Employee Handbook): The Service Rules are a detailed set of rules that prescribe key aspects of employment such as working hours, maternity leaves, statutory benefits, workplace code of conduct, additional grounds of termination, exit formalities and requirements etc. These rules can be made available to employees in the form of an Employee Handbook and different policies form a part of the Handbook, namely: Exit policy/ IT Hardware Usage policy/ Social Media Usage policy/ Leaves policy/ Attendance Policy/Dress Code etc.;

This policy is required to be published on the startup’s website, or at a conspicuous place in its premises; &
(d) Personal Information Collection Notice: This notice is required to be provided to the employees prior to the collection of their personal data/ sensitive personal data. It prescribes the information regarding the scope of personal data collection, purposes of processing, parties with whom the personal data will be shared, retention period etc.

The Sexual Harassment of Women (Prevention, Prohibition and Redressal) Act, 2013 mandates every company with 10 or more employees to constitute an Internal Committee to address sexual harassment-related issues and conduct training for staff members. Whilst the requirement to form an Internal Committee is mandatory for companies with 10 or more employees, it’s a good governance practise to form the committee as soon as the company starts its operations. This certificate needs to be applied for within 90 days from the commencement of work by a startup.
